exclusively in the courts of Miami-Dade County, Florida or in the United States District Court for the Southern District of Florida situated in
Miami, Florida. All parties hereby consent to personal jurisdiction in the State of Florida, acknowledge that venue is proper in the courts of
Miami-Dade County, Florida or in the United States District Court for the Southern District of Florida situated in Miami, Florida, and waive any
objections that may exist, now or in the future, with respect to any of the foregoing.
